On May 25, 2021, the Board of Directors agreed to approve the amendment of the aforementioned Regulations to adapt them to the reform of the Capital Companies Act by Law 5/2021, of April 12, amending the Consolidated Text of the Capital Companies Act, approved by Royal Legislative Decree 1/2010, of July 2, and other financial regulations, with regard to the promotion of the long-term involvement of shareholders in listed companies in matters relating, fundamentally, to the regime of related-party transactions, directors' remuneration, directors' duty of diligence and the content of the Annual Corporate Governance Report and the Annual Report on Directors' Remuneration.
